THE ROLE The Legal Counsel will play a key role in supporting the day-to-day legal operations of Tesla’s Shanghai Gigafactory and Megapack Factory. Working closely with the business teams, this position will ensure that Tesla Shanghai’s procurement, construction, and other operational activities are conducted efficiently and in full compliance with company objectives. This position is preferably based in Shanghai Lingang and will report directly to the Head of China Legal. The role will be an integral part of the Tesla China Legal team. KEY RESPONSIBILITIES Provide legal advice on a wide range of matters, with a primary focus on global and domestic sourcing, as well as construction-related legal issues. Draft and review various types of legal documents, including contracts, agreements, and internal policies. Support business teams and actively participate in contract negotiations to protect Tesla’s interests and facilitate business objectives. Manage and resolve disputes arising from contract execution, including handling and overseeing litigation when necessary, to minimize business impact. Deliver practical and timely legal support to business teams in resolving operational disputes. Act as a trusted legal business partner to help drive the achievement of Tesla’s financial, operational, and strategic goals. Perform other related duties as assigned, based on business needs. 1.Drafting, reviewing and negotiating transaction documents, such as equity share and asset subscription/purchase agreements, partnership/LLC/shareholders agreements, investment agreements, confidentiality agreements, side letters, engagement letters, letter of intent, bid letters, transaction term sheets, etc. 2.Working closely and coordinating with the company’s M&A investment team, financial and tax teams, divisional business teams with the review, analysis, implementation and execution of transactions. 3.Managing and coordinating due diligence reviews and reviewing relevant due diligence reports. 4.Retaining, managing and liaising with outside counsels and overseeing the working products provided by outside counsels. 5.Providing legal support for post-investment company management. 6.Contributing to the various internal knowledge management initiatives, including a precedent document database, template agreements, presentations and training initiatives.

What the Role Entails Tencent is looking for a Senior Legal Counsel focusing on overseas advertising platform and public welfare initiatives. As one of the key members in the Tencent overseas legal team, you will have an exciting opportunity to support international business, products and platforms in the areas of advertising, open-source software and AI across multiple jurisdictions. Key Responsibilities Advise on the legal and compliance aspects of overseas advertising platforms, including product features, platform governance, advertiser onboarding, ad review workflows, user-facing disclosures, and cross-border launches Build and improve the compliance framework for the overseas advertising business, including policies, standard operating procedures, risk assessments, approval workflows, training, and knowledge management. Draft, review and negotiate commercial agreements, including advertiser, agency, ad-tech, vendor, media-buying, and platform service agreements, as well as data-related and general commercial contracts. Conduct legal assessments and market entry research covering advertising and marketing regulation, consumer protection, privacy and data protection, content moderation, and sector-specific requirements. Provide strategic, end-to-end legal and compliance support for the global expansion and implementation of overseas public welfare initiatives, including contract review, legal risk assessment, governance support and other legal work across the project lifecycle. Collaborate with external counsel and other Tencent attorneys based around the world, including in mainland China, Singapore, the EU, the US and other relevant jurisdictions, to provide practical compliance and regulatory analysis for international business initiatives. Identify legal and regulatory risks early, and develop practical, scalable solutions for business, product, and platform teams. Who We Look For Key expectations and criteria: Education: Exceptional academic credentials, including an advanced law degree from a prestigious, internationally recognized law school. Admission to practice in a major overseas jurisdiction is strongly preferred. Experience: Minimum of 5 years of post-qualification experience gained at leading international law firms and/or multinational corporations. Proven experience in advertising, media, platform businesses, commercial contracting, regulatory compliance, and cross-border legal matters is strongly preferred. Compliance Systems Experience: Hands-on experience in building or enhancing compliance frameworks, including policies, template documentation, approval workflows, training programs, and knowledge management tools, with the ability to drive operational efficiency in line with both international standards and local regulatory requirements. Business Judgment: Sound business acumen with the ability to deliver practical, commercially pragmatic, and comprehensive legal advice in a fast-paced, cross-functional environment. Communication & Stakeholder Management: Excellent communication skills with the ability to build trusted, effective relationships with business stakeholders across different functions and levels. Independence & Project Management: Ability to work independently, effectively prioritize competing demands, and manage end-to-end project processes—from initial legal assessment and contract negotiation through to implementation and post-launch risk management. Resilience & Adaptability: Comfortable operating under pressure in a fast-paced, constantly evolving technology environment, with the ability to handle complex, time-sensitive, and multi-jurisdictional matters.
