Provide legal support in relation to innovative financing transactions based on blockchain and digital infrastructure as well as other cutting-edge technologies, including, among others, financing structuring, fund raising, structured and derivative products, regulated activities and other web3.0 related regulatory advice. 2. Conduct comprehensive risk assessments, offer solutions from legal perspective, draft and review legal documents, as well as participate in negotiations. 3. Collaborate with internal key-stakeholders and support blockchain based transactions. 4. Conduct theoretical and practical research on emerging legal issues related to the technologies as well as regulations where applicable. 5. Work with internal functions to facilitate effective project process advancement.

Alibaba Group Legal Department The Alibaba Group legal department has been recognized as a leading in-house team globally for its commercial, intellectual property and transactional work. The team comprises more than 300 staff spread throughout business groups as well as corporate level activities such as general commercial, IP, litigation, employment, M&A and investment. The largest team of lawyers works in Hangzhou, and we also have lawyers in other cities in Mainland China, as well as Hong Kong, Paris, Madrid, London, Sao Paulo, Mexico, South East Asia, and the U.S., etc. Many of our lawyers are at least bilingual and have worked in other leading companies and law firms. The legal work is dynamic, fast-paced and challenging. Position Sought We seek to hire a commercial legal counsel or senior legal counsel who will be a key member of the growing legal team supporting AliExpress’ global consumer facing e-commerce platform and services. The attorney will be based in our Hangzhou headquarters. The key areas and requirements that we are looking for are those listed below: Primary Responsibilities 1. Reporting to General Counsel, AliExpress, advise on legal aspects of the platform’s international expansion of current and proposed new e-commerce offerings. 2. Provide advice to business teams on legal aspects of the implementation of commercial agreements, business models and strategies, business operations, marketing activities, and product offerings. 3. Research local laws and regulations in relevant local jurisdictions and manage outside counsel. 4. Provide advice on platform compliance, product listing compliance, local and cross border logistics, import/export, and payment acceptance. 5. Negotiate, draft, and review contracts and commercial agreements. 6. Develop in-house legal tools and policies, and conduct trainings to business units.

This senior legal counsel is a member of the M&A legal team and will work and advise on the company’s international and domestic mergers, acquisitions, dispositions, joint ventures, investments and similar transactions. Responsibilities includes:. 1.Drafting, reviewing and negotiating transaction documents, such as equity share and asset subscription/purchase agreements, partnership/LLC/shareholders agreements, investment agreements, confidentiality agreements, side letters, engagement letters, letter of intent, bid letters, transaction term sheets, etc. 2.Working closely and coordinating with the company’s M&A investment team, financial and tax teams, divisional business teams with the review, analysis, implementation and execution of transactions. 3.Managing and coordinating due diligence reviews and reviewing relevant due diligence reports. 4.Retaining, managing and liaising with outside counsels and overseeing the working products provided by outside counsels. 5.Providing legal support for post-investment company management. 6.Contributing to the various internal knowledge management initiatives, including a precedent document database, template agreements, presentations and training initiatives.

1.Supporting the Hong Kong Listing Rules compliance workstream through:. 2.Ensuring the Company’s compliance with the requirements of the Hong Kong Listing Rules and the guidance materials published by the Hong Kong Stock Exchange, and providing guidance on the Company’s compliance with the continuing obligations applicable to listed issuers under the Hong Kong Listing Rules. 3.Advising on corporate actions and transactions carried out by the Company from time to time from a Hong Kong Listing Rules compliance perspective. 4.Drafting and reviewing announcements, circulars, regulatory submissions and corporate filings that are required to be issued or submitted by the Company under the Hong Kong Listing Rules on an ongoing basis. 5.Coordinating with internal stakeholders and external advisers to ensure that legal documents can accurately reflect commercial intentions, protect the Company's interests, and mitigate potential risks. 6.Keeping internal stakeholders abreast of changes and developments in the Hong Kong Listing Rules and related guidelines, and reviewing internal documents including group policies from time to time in light of the changes. 7.Supporting the Financing workstream through providing full legal support on the structuring, documentation and execution of a wide range of onshore and offshore financing arrangements (including bilateral and syndicated loans, acquisition finance, investment in financial products, fund management arrangements) such as (1) delivery of practical legal advice; (2) management of transactions, including coordinating with relevant internal departments and management of external counsels; and (3) engaging in the drafting, negotiating and reviewing of a variety of financing documents. 8.Providing legal advice and support in a wide range of corporate matters including advising on corporate governance and other regulatory matters.
