工作职责
This senior legal counsel is a member of the M&A legal team and will work and advise on the company’s international and domestic mergers, acquisitions, dispositions, joint ventures, investments and similar transactions. Responsibilities includes:. 1.Drafting, reviewing and negotiating transaction documents, such as equity share and asset subscription/purchase agreements, partnership/LLC/shareholders agreements, investment agreements, confidentiality agreements, side letters, engagement letters, letter of intent, bid letters, transaction term sheets, etc. 2.Working closely and coordinating with the company’s M&A investment team, financial and tax teams, divisional business teams with the review, analysis, implementation and execution of transactions. 3.Managing and coordinating due diligence reviews and reviewing relevant due diligence reports. 4.Retaining, managing and liaising with outside counsels and overseeing the working products provided by outside counsels. 5.Providing legal support for post-investment company management. 6.Contributing to the various internal knowledge management initiatives, including a precedent document database, template agreements, presentations and training initiatives.
1.Provide specialist payments legal advice and subject matter resources required to support the business. 2.Advise on compliance across all aspects of Singapore/Hong Kong/international payments laws and regulations, including license requirements. 3.Manage outside counsel for all payments projects. 4.Handle regulatory requests and manage working relationship with financial regulator(s). 5.Draft, review, negotiate and administer legal and commercial documentations. 6.Keep the business teams and internal stakeholders abreast of all new relevant laws and regulations that may have implications for the Company.
Introduction We are looking for a Soft IP counsel to support our international business needs. You will report to a Legal Director and work alongside other legal counsel in the team to support our rapidly growing business internationally. Job Description 1.Responsible for all offshore matters (i.e. outside China) relating to trade mark, domain name and copyright (non-contentious, contentious, commercial and compliance related); 2.Manage the trade mark, domain name and copyright portfolios of the Group, including administration of internal and external management platforms; 3.Responsible for licensing and other commercial transactions (involving the Group’s IP); 4.Handle offshore infringement actions, complaints and disputes (involving the Group’s IP); 5.Co-ordinate with the onshore legal team and various business units in relation to IP protection and management; 6.Provide advice to and co-ordinate with other legal teams and various business units on brand protection and management; 7.Provide training for the legal team and training modules to business units on brand awareness, protection and risk management; 8.Assist the team leader on matters involving brand awareness and protection, and risk management.

Position Sought We seek to hire a commercial legal counsel or senior legal counsel who will be a key member of the growing legal team supporting AliExpress’ global consumer facing e-commerce platform and services. The attorney will be based in our Hangzhou headquarters. The key areas and requirements that we are looking for are those listed below: Primary Responsibilities 1. Reporting to General Counsel, AliExpress, advise on legal aspects of the platform’s international expansion of current and proposed new e-commerce offerings. 2. Provide advice to business teams on legal aspects of the implementation of commercial agreements, business models and strategies, business operations, marketing activities, and product offerings. 3. Research local laws and regulations in relevant local jurisdictions and manage outside counsel. 4. Provide advice on platform compliance, product listing compliance, local and cross border logistics, import/export, and payment acceptance. 5. Negotiate, draft, and review contracts and commercial agreements. 6. Develop in-house legal tools and policies, and conduct trainings to business units.
Reporting to Senior Legal Counsel, advise on data privacy aspects of our e-commerce business’ global expansion of current and proposed new initiatives. Provide advice to business teams on data privacy aspects of the implementation of business models and strategies, business operations, product offerings, marketing activities and commercial agreements. Partnering with business, tech, product and information security functions respectively, set up and maintain the data privacy framework and programs on e-commerce related activities. Negotiate, draft, and review data processing agreements and other contractual work relating to data privacy. Develop in-house legal tools and policies relating to data privacy, and conduct trainings to business units. Research local laws and regulations in foreign jurisdictions and manage outside counsel.
